Terms of Service
These Terms are an agreement between you and DYE MEDIA LLC, a Tennessee limited liability company based in Smyrna, Tennessee ("RepTurf," "we," "us"). They cover the RepTurf website at repturf.com and the RepTurf app at dashboard.repturf.com (together, the "Service"). By creating an account, starting a trial or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Who we are
RepTurf is a territory CRM for outside and field sales teams. It is operated by DYE MEDIA LLC, Smyrna, Tennessee. You can reach us at chris@dye-media.com.
2. Business use only
RepTurf is for businesses and the people they authorize to use it. To use RepTurf you must be at least 18 years old, and the business must be located in the United States. RepTurf is not for personal, family or household use.
3. Accounts and workspaces
- Each company gets its own workspace. The person who creates a workspace accepts these Terms on behalf of their company and confirms they have authority to do so. In these Terms, that company is the "Customer."
- The Customer's admins control who has access, what each user can see, which integrations are turned on, and what happens to the workspace's data.
- Two-step sign-in is required for every user. Keep your sign-in details private and do not share accounts. Tell us right away at chris@dye-media.com if you think someone has accessed your account without permission.
- The Customer is responsible for what its users do in the Service.
4. Free trial
New workspaces can try RepTurf free for 14 days. No payment card is needed to start a trial. When the trial ends, you need to choose a paid plan to keep using the Service. We will not charge you unless you choose a paid plan and enter a payment method. If you do not choose a plan, your workspace is paused and your data is handled as described in Your data.
5. Billing and automatic renewal
- Prices. The price of your plan, any setup fee, the billing period and the renewal terms are shown to you before you pay.
- Automatic renewal. Paid plans renew automatically at the end of each billing period, monthly or yearly depending on the plan you choose, and we charge the payment method on file for the next period until you cancel. You can cancel at any time as described in Refunds and cancellation.
- Reminders. For yearly plans, we will email you a reminder before the plan renews.
- Payment processing. Payments are processed by Stripe. We do not store your full card number.
- Taxes. Prices do not include sales tax. We add tax where the law requires it.
- Price changes. We will email you at least 30 days before a price increase takes effect. The new price applies starting with your next billing period after that notice. You can cancel before the change takes effect.
- Failed payments. If a payment fails, we will try again and let you know. If it still cannot be collected, we may pause access until the balance is paid.
6. Refunds and cancellation
- How to cancel. Cancel anytime in the app under Settings, Billing, or by emailing chris@dye-media.com from an admin account. You do not need to call anyone.
- When it takes effect. Cancellation takes effect at the end of your current billing period. You keep access until then, and you will not be charged again.
- Monthly fees. Fees already paid are non-refundable, except where the law requires a refund.
- Yearly fees. If you cancel a yearly plan, it will not renew, and you keep access until the end of the paid year. Fees already paid are non-refundable, except where the law requires a refund.
- Setup fees. Setup fees are non-refundable once onboarding has started.
- Our cancellation. If we stop offering the Service entirely, or end your plan without cause, we will refund the unused part of any prepaid fees.
7. Your data
- You own it. The Customer owns the data it and its users put into RepTurf, including leads, contacts, notes, routes, check-ins and files ("Customer Data"). Customer Data belongs to the Customer company, not to the individual user who entered it. If a user leaves, an admin can remove them and keep the data.
- How we use it. You give us permission to store, copy and process Customer Data only as needed to run, secure, support and improve the Service, and as described in our Privacy Policy. We do not sell Customer Data.
- Export. Admins can export the workspace's data at any time.
- Deletion. You can ask us to delete your workspace data by emailing chris@dye-media.com. We delete it within 30 days of the request. Copies in our backups are removed within 30 more days as the backups roll off. When a paid plan ends or a trial lapses without a paid plan, we keep the workspace data for at least 30 days so admins can export it. After that we may delete it, after emailing an admin first.
- Aggregate data. We may use information about how the Service is used, with no Customer or person identified, to keep it running and to improve it.
8. Staff access to your data
A small number of RepTurf staff can view a workspace's records when needed for support, security, billing or legal compliance. Every staff view is recorded in an audit log. Staff never see the content of a user's private inbox.
9. Connected accounts
- You may connect an email, calendar or other account (for example Google or Microsoft) only if you are allowed to use it with outside apps. For a work account, you confirm that your employer or its IT admin permits the connection.
- When you connect an account, you authorize RepTurf to act for you within the permissions you approve on the provider's consent screen. You can disconnect at any time in Settings.
- Connected services are run by other companies under their own terms. We are not responsible for their availability, their changes, or their actions.
10. Email and outreach rules
- You are responsible for every email, call and text you make using RepTurf, and for following the laws that apply, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), Do Not Call rules, and state telemarketing and privacy laws.
- Bulk emails sent through RepTurf include your company's postal address and a working way to opt out. You must provide an accurate postal address, keep these in place, and honor every opt-out.
- Use honest From lines and subject lines that match the message.
- RepTurf is for outreach to US businesses. Do not use it to email people in other countries where prior consent is required.
11. Acceptable use
You agree not to:
- send spam or unlawful messages, or email lists you do not have the right to use;
- harass anyone, or use RepTurf to discriminate illegally;
- upload malware or content you do not have the right to share;
- try to get around security, access another company's workspace, or reverse engineer the Service;
- scrape, overload or disrupt the Service, or resell it without our written permission;
- use RepTurf to build a competing product.
We may suspend an account that creates a legal, security or email-deliverability risk. Where we can, we will tell you first and give you a chance to fix it.
12. Business data and lead lists
- RepTurf finds businesses using public data, including OpenStreetMap and US Census data. This data is provided as is. It may be incomplete, out of date or wrong, and it is subject to those providers' own terms.
- You are responsible for having the right to upload and use any contact data you add yourself.
13. Location check-ins
RepTurf records a user's device location only when that user taps Check in. It does not track location in the background. If the Customer uses check-ins, the Customer is responsible for giving its employees any notices, getting any consents the law requires, and deciding how long check-in data is kept.
14. AI features and prospect grades
- AI coaching, AI-written drafts and Jev prospect grades are generated automatically and may be wrong. Review them before you rely on them or send them.
- Do not use AI outputs or prospect grades as a basis for decisions about employment, credit, housing or insurance. The Customer is responsible for how it uses these outputs.
- Content you send to AI features is processed by our AI providers, which do not train their models on it. See our Privacy Policy for details.
15. No guarantee of results
RepTurf is a tool. We do not promise any number of sales, leads, replies, email deliverability or revenue.
16. Availability and changes
We work to keep RepTurf available, but we do not promise it will be uninterrupted or error free. We may change or remove features. If we make a change that materially reduces what your paid plan includes, we will tell you in advance, and you may cancel and receive a refund of the unused part of any prepaid fees.
17. Ownership of the software
We own the RepTurf software, design and brand. While your subscription is active, we give the Customer a limited, non-exclusive, non-transferable right for its users to use the Service under these Terms. If you send us ideas or feedback, we may use them without any obligation to you.
18. Confidentiality and security
Each of us will protect the other's non-public business information and use it only for this agreement. We protect Customer Data with safeguards that include keeping each company's data separate, required two-step sign-in, an audit log that cannot be edited, and nightly backups kept for 30 days. More detail is in our Privacy Policy. If we learn of a security breach affecting your data, we will notify you as required by law.
19. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available," without warranties of any kind, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement.
20. Limitation of liability
To the extent the law allows:
- Neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data, even if told they were possible.
- Each party's total liability for all claims related to the Service is limited to the amount the Customer paid us for the Service in the 12 months before the event that caused the claim. During a free trial, that amount is zero.
- These limits do not apply to the Customer's obligation to pay fees, to the Customer's indemnity duties in section 21, or to liability that cannot be limited by law.
21. Indemnity
The Customer will defend and indemnify DYE MEDIA LLC and its owners and staff against third-party claims, and the related losses and reasonable legal fees, that arise from: Customer Data or contact lists; emails, calls or texts sent using RepTurf; accounts connected without permission; monitoring of employees, including location check-ins; or a breach of these Terms or the law by the Customer or its users. We will tell the Customer promptly about any such claim and let the Customer control the defense, though we may join with our own counsel at our own cost.
22. Suspension and termination
- You can stop using RepTurf and cancel at any time.
- We may suspend or end access for nonpayment, a serious or repeated breach of these Terms, or when needed to avoid legal or security harm. Where we can, we will give notice first.
- After an account ends, admins have at least 30 days to export data, unless the law prevents it. After that we may delete it as described in Your data.
- Sections that by their nature should continue (including fees owed, Your data, Disclaimers, Limitation of liability, Indemnity and Governing law) continue after the account ends.
23. Governing law and disputes
Tennessee law governs these Terms, without regard to conflict of law rules. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days by contacting the other in writing. Any lawsuit must be brought only in the state courts located in Rutherford County, Tennessee, or the federal courts for the Middle District of Tennessee, and both parties agree to those courts' jurisdiction.
24. General terms
These Terms and the Privacy Policy are the whole agreement about the Service, unless the Customer has a separate signed order with us, in which case the order controls where it conflicts. If part of these Terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver. The Customer may not transfer this agreement without our written consent. We may transfer it as part of a merger, sale or reorganization. Neither party is responsible for delays caused by events outside its reasonable control.
25. Changes to these Terms
If we make a material change, we will tell admins by email or in the app at least 30 days before it takes effect. If you keep using RepTurf after that, the new Terms apply. If you do not agree, you can cancel before the change takes effect. The date at the top shows when these Terms last changed.
